General conditions of sale and delivery
1. In General
LUXE DIFFUSION s.à.rl carries out its deliveries and services in Switzerland on the basis of these general terms and conditions of sale and delivery. The customer's general terms and conditions are not applicable, even if the customer refers to them. Changes and additions to these general terms and conditions of sale and delivery must be made in writing. LUXE DIFFUSION s.à.rl accepts orders. The contract with the customer takes effect upon receipt of the order.
2. Scope of deliveries and services
Deliveries and services are definitively listed in the order confirmation. We reserve the right to make changes to the products between the conclusion of the contract and delivery.
3. Advertising brochures and catalogues
The information contained in brochures and online is not binding.
4. Price
The prices indicated in the order list valid on the date of the order are exclusive of VAT.
5. Fees
Shipping costs will be free from 200 CHF.
6. Delivery dates
Delivery dates are given for information purposes only. The delivery date will be postponed accordingly if obstacles arise that LUXE DIFFUSION S.à.rl cannot avoid despite all due diligence. Failure to comply with delivery deadlines and dates does not give rise to a claim for compensation.
7. Payment Terms
Invoices of LUXE DIFFUSION S.à.rl must be paid without deduction no later than the 30th day after the invoice date. In the event of non-compliance with the payment terms, LUXE DIFFUSION S.à.rl will charge a reminder fee of CHF 10.- per invoice after the first reminder.
8. Retention of title
LUXE DIFFUSION S.à.rl remains the owner of the goods delivered by it (in particular goods on consignment) until full payment thereof. The customer grants LUXE DIFFUSION S.à.rl access to its property at any time.
9. Transfer of benefits and risks
The benefits and risks are transferred to the buyer as soon as the delivery leaves the warehouse of LUXE DIFFUSION S.à.rl.
10. Returned Goods
Returned goods will only be taken back after prior agreement. LUXE DIFFUSION S.à.rl reserves the right to deduct at least 10% of the value of the goods, depending on their condition, from the value of the goods returned to the customer. The return costs are the responsibility of the customer.
11. Control and reception
The customer must check the deliveries and services of LUXE DIFFUSION S.à.rl within 5 working days and immediately inform LUXE DIFFUSION S.à.rl in writing of any defect. Failing this, the deliveries and services are deemed to have been approved, subject to hidden defects.
12. Product Safety and Traceability Act
If an actual or potential danger to the safety of persons or a health risk arises during the life of the delivered products due to a product defect, the buyer is obliged to cooperate effectively with LUXE DIFFUSION S.à.rl to eliminate it. In accordance with the applicable Product Safety Act (PrSG), the customer is in particular obliged to ensure the complete traceability of the delivered goods.
13. Exclusion of any other liability
The buyer only has the rights expressly set out in Section 11 with regard to defects in deliveries and services. Any further rights of the buyer, in particular claims for damages, including indirect damages, are excluded.
14. Jurisdiction and applicable law
The contract is subject to Swiss law. The exclusive place of jurisdiction for all proceedings is Lausanne, Switzerland.
